Terms of Use

Capnova Pay is a digital platform offered by Capnova Financial Services Inc. under the Capnova Pay trade name. The platform enables individuals and businesses to explore financial products and services offered by third-party providers.

Capnova Financial Services Inc., doing business as Capnova Pay, is not a bank and does not itself provide the banking, card issuance, digital-asset custody, or other financial products and services offered by third-party providers through the platform.

Capnova does not hold or take custody of customer funds or digital assets. Financial products and services accessible through the platform are provided by the applicable third-party providers and are subject to their respective terms, conditions, disclosures, eligibility requirements, and privacy policies.

You must be at least 18 years of age to use Capnova Pay.

By using the platform, you represent that you are at least 18 years old and have the legal capacity to agree to these Terms of Use.

You agree to use Capnova Pay only for lawful purposes and in accordance with these Terms.

You are responsible for the accuracy of information you voluntarily provide to Capnova, including information submitted when contacting us or requesting information about a product or service.

You may not use the platform to engage in fraudulent, unlawful, abusive, or deceptive activity; attempt to gain unauthorized access to the platform or related systems; interfere with the operation or security of the platform; introduce malicious software or code; or use the platform in a manner that violates applicable law or the rights of others.

Financial products and services accessible through Capnova Pay are provided by independent third-party providers.

When you choose to proceed with a provider, you may be directed to that provider’s website, application, or onboarding process. Your relationship concerning that financial product or service is with the applicable provider and is governed by that provider’s terms, conditions, disclosures, agreements, eligibility requirements, and privacy policy.

Capnova does not control provider eligibility requirements or approval decisions and does not guarantee that you will qualify for, be approved for, or receive any particular financial product or service.

Before using a provider’s service, you should carefully review the provider’s applicable terms, disclosures, fees, privacy policy, and other agreements.

Capnova Pay may contain links to websites, platforms, or services operated by third parties.

These third-party websites and services are not controlled by Capnova. A link or referral to a third-party provider does not make Capnova responsible for that provider’s website, products, services, content, security practices, privacy practices, or performance.

Your use of a third-party website or service is subject to the terms and policies of that third party.

Information provided through Capnova Pay is for general informational purposes only and does not constitute financial, investment, legal, accounting, or tax advice.

Capnova does not determine whether a particular financial product or service is suitable or appropriate for you. You are responsible for evaluating products and services and, when appropriate, consulting qualified professional advisers before making financial decisions.

The availability, features, pricing, fees, eligibility requirements, and terms of third-party products and services may change without notice.

Capnova does not guarantee the availability of any particular provider, product, service, account, card, digital-asset service, rate, fee, feature, or other offering displayed or referenced through the platform.

Information concerning third-party products and services is subject to the applicable provider’s current terms and disclosures.

The Capnova Pay platform, including its branding, design, text, graphics, logos, and other original content, is owned by or licensed to Capnova Financial Services Inc. and is protected by applicable intellectual-property laws.

You may use the platform for your personal or legitimate business purposes but may not copy, reproduce, distribute, modify, sell, or commercially exploit Capnova Pay content without authorization, except as permitted by law.

Third-party names, trademarks, logos, and other intellectual property belong to their respective owners.

We may modify, suspend, discontinue, or restrict access to any portion of Capnova Pay at any time.

We do not guarantee that the platform will always be available, uninterrupted, secure, or error-free.

To the fullest extent permitted by applicable law, Capnova Pay and the platform are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.

Capnova Financial Services Inc. does not warrant that the platform will be uninterrupted, error-free, or free from harmful components, or that information provided by third-party providers will always be complete, accurate, or current.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

To the fullest extent permitted by applicable law, Capnova Financial Services Inc. and its officers, directors, employees, agents, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of, or inability to use, the Capnova Pay platform.

Capnova Financial Services Inc. is not responsible for losses resulting from the products, services, acts, omissions, eligibility decisions, account decisions, transactions, security practices, or other activities of independent third-party providers.

Nothing in these Terms limits liability that cannot lawfully be limited or excluded.

To the extent permitted by applicable law, you agree to indemnify and hold harmless Capnova Financial Services Inc. and its officers, directors, employees, agents, and affiliates from claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful or unauthorized use of the platform or your material violation of these Terms of Use.

Your use of Capnova Pay is also subject to our Privacy Policy, which explains how Capnova collects, uses, shares, and protects information.

Information that you provide directly to a third-party financial service provider is governed by that provider’s privacy policy.

We may update these Terms of Use periodically to reflect changes to the platform, our business practices, applicable law, or other circumstances.

When we make changes, we will update the “Last Updated” date at the top of these Terms. Your continued use of Capnova Pay after revised Terms become effective constitutes your acceptance of the revised Terms.

These Terms of Use are governed by the laws of the State of Utah, without regard to its conflict-of-law principles, except where applicable law requires otherwise.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

These Terms of Use, together with our Privacy Policy and any other policies or notices expressly incorporated by reference, constitute the agreement between you and Capnova Financial Services Inc. regarding your use of the Capnova Pay platform.

These Terms do not replace or modify any separate agreement between you and a third-party financial service provider.
